Beta Program Terms of Use
Effective Date: June, 4, 2025
Thank you for your interest in participating in the Audituity Beta Program (“Beta Program”). This agreement (“Agreement”) sets forth the legally binding terms and conditions for your participation. By accessing or using the Beta version of the Audituity platform (“Beta Platform”), you agree to be bound by these Terms of Use.
1. Beta Program Participation
Audituity.com (“Company”, “we”, “us”, or “our”) may grant you limited access to the Beta Platform for the purpose of evaluating features, providing feedback, and helping improve the product prior to its public release. Participation is by invitation only and subject to our approval.
The Beta Program is scheduled to run for a limited duration of approximately 6 to 12 weeks, concluding around the time of the platform’s full production launch. Access to the Beta Platform during this period is granted solely for testing purposes and may be modified, suspended, or terminated at our discretion.
2. Use Rights and Restrictions
You are granted a limited, non-exclusive, non-transferable, revocable right to access and use the Beta Platform solely for testing and evaluation purposes during the Beta Program period.
You agree not to, and will not permit others to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying structure, ideas, or algorithms of the Beta Platform.
- Copy, modify, or create derivative works of the Beta Platform.
- Sell, resell, sublicense, or distribute access to the Beta Platform to any third party.
- Use the Beta Platform in violation of any applicable laws or regulations.
3. Acknowledgment of Beta Software Risks
You understand and agree that:
- The Beta Platform is pre-release software and may contain bugs, errors, defects, or other issues that could cause system failures, data loss, or other disruptions.
- Features and functionality may be added, changed, or removed without notice during the Beta Program.
- The Beta Platform is provided “as is” with no guarantee of reliability, uptime, or continued functionality.
- Any data entered or created during the Beta may not be preserved or accessible after the Beta period ends.
4. Feedback
You agree to provide prompt, candid, and constructive feedback regarding your experience with the Beta Platform. You grant Audituity a worldwide, royalty-free, perpetual license to use, reproduce, incorporate, and otherwise fully exploit any feedback you provide for the purposes of improving the platform or other business purposes, without any obligation to you.
5. Access Timeline and Post-Beta Transition
Participants will have access to the full Beta Platform for the duration of the Beta Program. Audituity may phase in new features during the Beta period for testing purposes.
At the conclusion of the Beta Program:
- You will have a 2-week grace period to either:
- Subscribe to a paid plan to maintain uninterrupted access, or
- Export any data you’ve entered into the platform (subject to availability).
- After the grace period, access to the platform will be automatically terminated unless a paid subscription is initiated.
- Audituity is not responsible for preserving or recovering any data after the Beta Program ends.
6. Confidentiality
Unless otherwise stated in writing, you agree that all aspects of the Beta Platform, including its functionality, design, performance, and documentation, are confidential and proprietary to Audituity. You agree not to disclose any Beta Platform information or related feedback to any third party without our prior written consent.
7. Disclaimer of Warranties
THE BETA PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AUDITUITY DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AUDITUITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE BETA PROGRAM, INCLUDING BUT NOT LIMITED TO LOST DATA, LOST PROFITS, OR SERVICE INTERRUPTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Termination
We may terminate this Agreement and your access to the Beta Platform at any time. Upon termination, you must cease all use of the Beta Platform and delete all copies and materials associated with it.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.
By participating in the Audituity Beta Program, you confirm that you have read, understood, and agreed to the terms above.
